Liability of Management Board Members for Company Obligations – Legal, Tax and Accounting Perspective
The webinar will take place on 27 May 2026,
from 10:00 to 11:30 (including a 30-minute Q&A session).
The webinar will be led by experts in law, taxation and accounting, who will discuss the practical aspects of liability of management board members, CFOs and other individuals involved in managing company affairs.
During the meeting, we will address, among others, the following questions:
Accounting perspective:
- Who is responsible for the reliability and timely maintenance of accounting books and preparation of financial statements?
- What are the consequences of failing to keep accounting books, keeping them contrary to applicable regulations, or including unreliable data?
- Can the management board refuse to sign financial statements?
- What are the consequences of failing to file financial statements with the National Court Register (KRS), and who may be held liable?
- Should the management board supervise accounting books maintained by an external accounting office?
- Is it possible not to have financial statements audited despite a statutory obligation?
Tax perspective:
- What are the consequences of failing to issue invoices through KSeF (the National e-Invoicing System)?
- Does submitting a voluntary disclosure protect management board members and CFOs from liability?
- Can company employees who are not management board members be held liable for tax arrears?
- What are the consequences of non-compliance with the SENT system regulations?
- Is it safe to correct the same tax return several times?
- Does outsourcing accounting to a reputable accounting office effectively protect against liability for tax arrears?
Legal perspective:
- When is the company liable for debts, and when are management board members liable?
- Can a creditor sue both a limited liability company and its management board members at the same time?
- When should a bankruptcy petition be filed, and how does this affect the liability of management board members?
- Is the dismissal of a management board member sufficient to release them from liability?
- Can the division of responsibilities between management board members limit their liability?
- When can a management board member face criminal liability for the company’s actions?
